1. Agreement and operator
These Terms and Conditions (the Terms) form a binding agreement between you or the business you represent and FreightGuard (FreightGuard, we, us). By creating an account, using an API key, purchasing a subscription or otherwise accessing the service, you accept these Terms and our Privacy Policy and Refund Policy.
You must be at least 18 years old and authorized to bind the business for which you use FreightGuard. The service is intended for business and professional use.
2. The service
FreightGuard extracts carrier invoices and rate confirmations, compares agreed and billed charges, identifies potential discrepancies, and supports review and dispute workflows. Optional data tools may normalize freight-related information from public and commercial sources into searchable records, exports, API responses and change alerts. Source records can be delayed, incomplete, corrected or withdrawn.
Carrier Alerts compare a monitored record with its previously stored FreightGuard snapshot. An alert means a tracked field changed; it does not independently prove wrongdoing, fault, loss or legal ineligibility. External email, Slack or Telegram delivery is best-effort and may be delayed or unavailable, so the in-app alert history remains the authoritative service record.
FreightGuard is a decision-support tool. It is not legal, insurance, underwriting, credit, safety or compliance advice and does not replace verification with the relevant regulator or source agency. You remain responsible for your decisions and for complying with laws that apply to your use.
3. Accounts and API keys
- Provide accurate registration information and keep it current.
- Keep credentials and API keys confidential. You are responsible for activity performed through your account.
- Notify [email protected] promptly if you suspect unauthorized access.
- Rate limits apply per plan. You may not bypass limits by creating multiple accounts, rotating IP addresses or sharing credentials between unrelated businesses.
4. Plans, prices and payment
FreightGuard offers the following monthly subscriptions in USD:
- FreightGuard Starter — $199 per month
- FreightGuard Pro — $499 per month
- FreightGuard Enterprise — $1,999 per month
The Developer Preview is a limited free evaluation and is not a paid subscription. Current plan entitlements and limits are displayed on the Billing page. Enterprise custom terms, bulk delivery or a signed service-level agreement apply only when agreed in writing.
Paid orders are processed by FastSpring as Merchant of Record. FastSpring may calculate and collect applicable sales tax, VAT or similar charges and will provide the checkout receipt or invoice. Subscriptions renew automatically each month until canceled. You authorize recurring charges for the selected plan.
5. Cancellation and refunds
You may cancel through the FastSpring account portal or by contacting us. Cancellation stops future renewal and access normally continues until the end of the paid billing period. Refund eligibility and procedure are described in our Refund Policy.
6. Permitted use
During an active plan, FreightGuard grants you a limited, non-exclusive, non-transferable right to access the service for your internal business operations and to integrate API responses into your internal workflows.
You may not:
- resell, sublicense, publish or redistribute the raw database or provide a competing data service based substantially on FreightGuard data;
- scrape the website, defeat technical limits, interfere with the service or attempt unauthorized access;
- use the service for unlawful discrimination, stalking, fraud, harassment or decisions prohibited by applicable law;
- misrepresent government data as a guarantee, certification or endorsement by FreightGuard or a government agency;
- upload malware or content you do not have the right to process.
7. Customer content and confidentiality
You retain rights in information and documents you submit. You grant us the limited rights needed to host, process, secure and transmit that content to provide the service. Each party will use reasonable care to protect the other party's non-public confidential information.
8. Availability and changes
We may update datasets, schemas, features and limits to improve security, accuracy or performance. We will use reasonable efforts to avoid materially breaking documented API behavior without notice. Unless a written Enterprise SLA states otherwise, the service is provided without a guaranteed uptime or response time.
9. Intellectual property
FreightGuard and its software, documentation, branding, normalization methods and non-public derived materials are protected by intellectual-property laws. Public-source records remain subject to the rights and notices of their respective sources. No rights are granted except those expressly stated in these Terms.
10. Suspension and termination
We may suspend or terminate access for nonpayment, security risk, unlawful use or material breach. Where practical, we will provide notice and an opportunity to cure. You may stop using the service at any time. Sections that by their nature should survive termination will survive.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND DATA ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT A RECORD IS COMPLETE, CURRENT OR SUITABLE FOR A PARTICULAR DECISION.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST REVENUE OR LOST DATA. FREIGHTGUARD'S TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Armenia, without regard to conflict-of-law rules. The courts located in Yerevan, Armenia will have exclusive jurisdiction, unless applicable law requires another forum. Before filing a claim, each party will attempt in good faith for 30 days to resolve the dispute through written notice.
14. Changes and contact
We may update these Terms by publishing a revised version and date. For material changes, we will provide reasonable notice through the service or email. Questions and legal notices may be sent to [email protected].
